Atlanta Georgia Table Tennis Association

Article 1 Name and Organization

    • The name of this organization shall be Atlanta Georgia Table Tennis Association, hereinafter referred to as “AGTTA”.
    • The AGTTA shall be a non-profit corporation.
    • The AGTTA shall be affiliated with the United States Table Tennis Association.
    • The rules, policies, and procedures of the AGTTA shall be embodied in this document and the By-Laws of the AGTTA.

Article 2 Purpose

    • The purpose of the AGTTA shall be the encouragement, promotion, and maintenance of the sport of table tennis as a wholesome form of physical recreation and competition.
    • The AGTTA shall actively seek to develop participation in the sport of table tennis by persons of every age, sex, race, color, and creed and by persons with physical and/or mental disabilities and shall seek to associate itself with those local, regional, and/or national organizations or entities which may provide opportunities for such development.

Article 3 Membership

    • Any person who is willing to uphold the Rules and By-Laws of the AGTTA and the

U.S. Table Tennis Association shall be eligible for membership in the AGTTA as provided in the By-Laws. (Note: Membership in the USTTA is not required for membership in the AGTTA.)

      • Adult – Adults are defined as those individuals who are 18 years of age or older of the last July 1.
      • Family – Family members include up to 4 members of an adult member family.
    • A “current” member shall be any person whose membership is in good standing according to the provisions of Section 1 of the By-Laws.
    • A Membership may be terminated by the AGTTA Board for violation of Georgia law at any meeting or session, by violating the rules of SafeSport guidelines, or rules of decorum in the AGTTA facility.  A letter will be sent suspending the membership.

Article 4 Directors/Officers

    • The Directors and Officers of the AGTTA are unpaid volunteers who guide the club operation and activities as described in the By-Laws.
    • All Board Members must be SafeSport Certified.  All Candidates for AGTTA Board must be SafeSport Certified BEFORE being placed on the ballot for election.
    • All Directors and Officers of the AGTTA shall be elected or appointed in the event of a vacancy occurring between elections in accordance with the By-Laws.
    • All Directors and Officers of the AGTTA shall be elected every two years, between November 1 and November 30 of the respective year.
    • The Directors/Officers shall not be personally liable for the debts, liabilities, or other obligations of AGTTA. AGTTA agrees to indemnify and hold its Board of Directors and Officers harmless from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against them individually, or as a collective body, that result from the acts or omissions of the Directors or Officers relating to all actions performed individually or collectively and as authorized by the Directors or Officers or the general membership in accordance with the budget and policies of AGTTA.

Article 5 Meetings

    • The AGTTA shall hold at least one annual planning meeting per year. The time and

place of said meeting shall be selected by the Director Committee. All current members of the AGTTA shall be eligible to attend said meeting and shall be sent notification by email not less than two weeks before the date of said meeting.

    • The CEO may call special meetings at any time. All current members of the AGTTA shall be eligible to attend such meetings and shall be sent notification by email not less than two weeks before the date of such meetings.
    • Meetings of the Director Committee shall be held not less than once a year at a time and place to be set by majority vote of its members.  The meeting must be in person.

Article 6 Amendments to the Constitution

    • Amendments to this Constitution may be made only by a two-thirds majority vote of the members present at any annual, general, or special meeting. A quorum must be obtained as described in the By-Laws. Detailed notification of such amendment(s) must be sent by email to all current members not less than two weeks before the date of said meeting.

Article 7 Dissolution

    • A vote to dissolve the AGTTA may be taken only at an annual, general, or special meeting. Such dissolution shall require a two-thirds majority vote of the current members present. A quorum must be obtained as described in the By-Laws. Notification of the proposed vote for dissolution must be sent by email to all current members not less than two weeks before the date of said meeting.
    • In the event that a quorum is not obtained under the procedures described in Section 7.1, the Director Committee may subsequently dissolve the AGTTA by a vote of its members at a special meeting.  A three-fourths majority vote of all current members of the Director Committee shall be required.
    • Upon dissolution of the AGTTA, any funds remaining in AGTTA accounts shall be disbursed in accordance with Article 6 of the organizations Articles of Incorporation.

Article 8 Ratification

  • This Constitution shall become effective immediately upon approval by a two-thirds majority vote of all current members of the AGTTA taken at any meeting.

Section 1

    • A “member in good standing” is defined as any member whose membership dues are paid in full for the period in question and who is not in violation of good standing for any of the reasons described in Article 3 of these By-Laws.
    • Any membership may be terminated either voluntarily by the member for any reason upon resignation tendered to a member of the Director Committee or for cause by a majority vote of the Director Committee for any of the following reasons.
      • Violation or disregard of AGTTA or USTTA rules and regulations.
      • Delinquency in payment of fees and assessments.
      • Conduct failing to conform with AGTTA or USTTA standards of sportsmanship or which tends to bring disrepute upon the AGTTA, the USTTA, or the sport of table tennis, or Not following Safe Sport rules.
    • AGTTA membership lists will not be published, distributed or given to anyone beyond the Directors/Officers.
    • Any member who resigns while in good standing, in accordance with the procedures detailed in Section 1.5, may be reinstated upon application to the AGTTA following the same procedures as a first-time new member.

Section 2 Officers

    • The officers of the AGTTA shall consist of a President, Vice President, Secretary, Treasurer, and four Directors: Player Development, Director of League Play, Special Functions, and Director of Tournaments.
      • The President shall superintend business of the AGTTA generally, preside at all meetings of the AGTTA, appoint such committee chairman as may be required, and perform any other duties delegated by the Directors. The President shall also be responsible for training of the Vice President/President-Elect in the duties of the office of President in whatever manner shall be deemed most effective.
      • The Vice President/President-Elect shall carry out the duties of the President in his/her absence or disability. The Vice President shall also supervise the activities of all AGTTA committees, giving periodic reports to the President as necessary. The Vice President shall make every effort to familiarize himself/herself with the duties and responsibilities of the office of the President as described above.
      • The Secretary shall be responsible for recording the minutes of all AGTTA meetings. He/she shall also be responsible for the regular correspondence of the AGTTA, including communications with members regarding meetings, tournaments, etc. He/she shall be responsible for publicizing the activities of

the AGTTA in the appropriate local media and for providing reports of AGTTA activities to the USTTA office as required, except for reports related to tournaments and League play.

      • The Treasurer shall be responsible for the financial operations of the AGTTA. He/she shall receive all invoices and receipts for AGTTA expenses and shall pay all bills as required. A second Officer, chosen by vote of the elected Officers, shall be give co-signature authority for AGTTA funds. He/she shall also reimburse AGTTA members for pre-authorized expenses incurred in the pursuit of official AGTTA business. He/she shall open and maintain AGTTA bank accounts, using only institutions covered by federal account insurance programs. He/she shall allocate funds between accounts in a manner consistent with safety and a high rate of return. In no case shall the Treasurer deposit funds into an institution of which he/she is an employee or stockholder without prior approval by a three-fourth majority of the Director Committee. The Treasurer shall report on the financial condition and transactions of the AGTTA at all Director Committee and regular meetings and shall be responsible for the preparation an annual report as may be required for audit purposes.
      • The Director of Special Functions shall be responsible for arranging and coordinating activities such as television, National tournament events, and setting up and supervising the various special Committees. Examples of two committees are the Internet/Web committee and Junior China Trip committee. The intent is to promote table tennis to the general population.
      • The Director of Tournaments shall be responsible for organizing, arranging and coordinating table tennis tournaments that are sponsored by the club.
      • The Director of League Play shall be responsible for arranging and coordinating

League play for the general membership. This activity shall include, but not be limited to, arranging matches, defining the rules of league play, and collecting fees that will be passed on to the treasurer.

      • The Director of Player Development shall be responsible for arranging and coordinating coaching activities for the junior players. Duties include selecting and supervising a Junior Coach to provide free training to any junior AGTTA member in good standing who wishes to participate in the program. Duties include selecting and inviting players to participate in the AGTTA Team for The Georgia Games each year. Insuring that all Coaches are Safe Sport Certified as required by the USATT and USOPC.
    • The Directors and Officers of the AGTTA shall be elected to their position every two years in the annual general meeting.
    • All officers, committee heads, and functional club appointees are responsible for orderly transition of all club related ongoing activities to their successor as well as a report on all club agreements or transactions undertaken during their term on completion of term of office, resignation, or termination for whatever reason. All shall be SafeSport Certified.
    • In matters requiring Officer votes the President’s vote shall be used to break any ties.

Section 3 Managers

    • Floor Managers shall be appointed by the Directors and Officers to help control the Day to Day activities and play of the AGTTA.
      • The Floor manager and/or his assistants will open the club, set up and take down tables and barriers, and oversee that the general conduct and sportsmanship of play is maintained during play. The managers have authority to collect membership applications, and mediate and resolve procedural, behavioral, and rule conflicts. (Managers should notify the Directors or Officers when such conflicts occur.)
